Dear Valued Supplier,

The Conakry Port Container Terminal Extension Project, undertaken by China Harbour Engineering Company (CHEC), has officially commenced. To ensure the smooth implementation of the project, we are hereby issuing a public tender for the supply of rebar.

尊敬的供应商：

中国港湾承建的几内亚科纳克里港集装箱码头扩建二期项目现已全面启动。为保障项目顺利推进，我司现就项目所需钢筋进行公开招标。

1. Project Overview项目概况

Project Name: the Extension of the Container Terminal at the Port of Conakry

2. Inquiry Requirements 报价要求

（1）Quantity, Pricing Basis and Price Structure

The total quantity of rebar for this inquiry is 3,138 tons. For specific specifications, models, and quantities, please refer to "Attachment 1: Rebar Quotation Form." This quantity serves as the contract baseline; the final supply quantity shall be subject to the formal orders issued by the Buyer.

Port of Delivery: Yantai Port

Price Structure and Terms: Suppliers must quote a floating unit price on an FOT (Free on Truck) Yantai Port basis. The supplier's quotation must include all of the following items: base web price, ex-factory adjustment price, transport and miscellaneous charges from the factory to Yantai Port (including freight, warehouse-out charges, hoisting charges, etc.), financial expenses (including capital costs), and service fees (including management and sales expenses). The base web price shall be the web price published on March 16, 2026, under "Mysteel.com – Jinan Market Construction Steel Prices – [Brand Name]" for products of the same specification and material.

Supplier: The quotation must include the manufacturing costs (ex-factory price and technical adjustment price) covering all requirements in "Attachment 6: Technical Specifications," as well as all transport and miscellaneous charges for inland transportation from the factory to Yantai Port, financial expenses, service fees and tax.

Price Fixity and Nature: The quoted price shall be a tax-inclusive floating comprehensive unit price, which has covered all costs, taxes, fees, risks, and profits required to fulfill all contractual obligations (including but not limited to meeting all technical specifications, packaging, insurance to the port, provision of documents, etc.). The Purchaser will not accept any claims for additional costs in any form.

**（1）**数量、价格基准与报价构成

本次询价钢筋总量为3138吨，具体规格型号及数量详见《附件1：钢筋询价表》。此数量为合同基准，最终供货数量以买方下达的正式订单为准。

交货港：烟台港

价格构成与条件：供应商必须报出“烟台港车板交货”的浮动单价。供应商报价必须包含以下全部项：基准网价、出厂调节价、从工厂至烟台港的运杂费（包含运费、出库费、吊装费等）、财务费（含资金成本）、服务费（含管理费用、销售）和税费。基准网价为参照2026年3月16日“我的钢铁网-济南市场建筑钢材价格行情-XX品牌”同规格、同材质产品的网价，报价时需注明。

供应商：报价必须包含覆盖《附件6：钢筋技术规格书》全部要求的生产制造成本（出厂价、技术调节价），以及从工厂至烟台港的内陆运输的所有运杂费、财务费、服务费和税费。

总价固定性：所报价格应为含税浮动综合单价，已涵盖履行合同全部义务（包括但不限于满足所有技术规格、包装、保险至港口、单证提供等）所需的一切成本、税费、风险及利润，采购方不接受任何形式的额外费用主张。

（2）Technical Specifications and Mandatory Requirements

Supplier Qualification Requirements:

Suppliers must possess sufficient production capacity and be capable of independently organizing logistics to transport goods to Yantai Port. Emphasis will be placed on evaluating the supplier's performance guarantee capability, continuous supply capability, and after-sales service response speed. To ensure fair market competition, we reject participation by suppliers in the capacity of "exclusive authorized agents" of steel mills or any form of regional monopoly status.

Technical Standards:

The supplied rebar must fully comply with all technical standards, parameters, testing, and acceptance requirements specified in "Attachment 6: Technical Specifications" Any technical deviation will result in the rejection of the quotation.

Quality Standards:

Suppliers must have the capability to provide the original Mill Test Certificate (MTC) with each shipment. The report must cover chemical composition, yield strength, tensile strength, and elongation, and must correspond to the physical batch numbers. The supplier shall ensure that each bundle of steel has a unique identifiable mark within Guinea; products without marks or with incomplete identification will face the risk of rejection.

Cargo Transportation Requirements:

During transportation, goods must be packaged, covered, and securely strapped in accordance with prevailing industry standards. The process must achieve zero spilling, zero leakage, and no environmental pollution. Necessary protective measures must be taken to ensure that materials arrive at the delivery location safely and undamaged.

Cargo Packaging Requirements:

The packaging provided by the supplier shall be in bundles. The packaging must comply with relevant long-distance ocean freight standards, with all costs borne by the supplier. The supplier shall not recycle the packaging materials.

Compensation for Departure Delay:

If the goods fail to arrive at the port and be loaded onto the vessel on schedule due to reasons attributable to the supplier, the supplier shall pay liquidated damages of RMB 50,000 for each day of delay.

Payment Currency and Exchange Rate:

The contract and payment currency shall be Renminbi (RMB). If conversion between USD and RMB is involved, it shall be executed uniformly according to the RMB-to-USD central parity rate issued by the People's Bank of China (PBOC) on the date the Proforma Invoice (PI) is issued.

Quotation Composition Restrictions:

It is strictly prohibited to set a Minimum Order Quantity (MOQ) or add additional restrictive conditions such as shipping surcharges in the quotation.

Export Compliance:

The supplier shall cooperate in handling export customs clearance and related work in the name of China Harbour Engineering Company (CHEC) Headquarters.

Commitments and Qualification Documents:

Suppliers must simultaneously submit the following signed documents at the time of quotation:

I. "Supplier Quotation Performance Commitment Letter" (Attachment 5);

II. Completed "Supplier Questionnaire" (Attachment 2);

III. Signed "Supplier Compliance Declaration" (Attachment 3).

The aforementioned documents are integral and indispensable parts of the quotation. The absence of any single item will constitute an invalid bid.

（2）技术规范及强制性文件要求

供应商资质要求：

供应商需具备充足的生产定额，并能自主组织物流将货物运送至烟台港。重点考察供应商的履约保障能力、持续保供能力以及售后服务响应速度。我方拒绝供应商以钢厂“独家授权代理”或任何形式的区域垄断性身份参与，以确保市场竞争的公平性 。

技术标准：

所供钢筋必须完全满足《附件6：钢筋技术规格书》中的所有技术标准、参数、测试及验收要求。任何技术偏离将导致报价被拒绝。

质量标准：

必须具备随车提供原厂质量证明书（MTC）的能力，且报告需涵盖化学成分、屈服强度、抗拉强度、伸长率，并与实物批号对应。供应商需确保每捆钢筋在几内亚境内具有唯一可识别标志，无标识或标识不全将面临拒收风险。

货物运输要求：

运输过程中要按行业内通且标准进行包装、覆盖，并捆绑牢固，做到无抛洒、无遗漏，不污染环境，并采取必要的防护措施，以保证将物资安全无损的运抵交货地点。

货物包装要求：

供货商提供的包装为捆装，包装要符合相应海运长航运输标准，费用由供货商承担。供货商对包装物不进行回收。

离港延误赔偿：

因供应商原因导致货物未能按时集港装船，每延迟一天，供应商需支付违约金 50,000元人民币。

付款币种与汇率：

合同及支付币种均为人民币（RMB）。若涉及美元与人民币折算，统一按照开具形式发票当天中国人民银行人民币兑美元中间价执行。

报价组成限制：

报价中严禁设置最低起订量（MOQ）或加收起运费等附加限制条件。

出口合规：供应商需配合以中国港湾总部名义办理出口报关等相关工作。

承诺与资质文件：

供应商必须在报价时同时提交已签署的：
I.《供应商报价履约承诺书》（附件5）；

II. 已填写的《供应商调查问卷》（附件2）；

III. 已签署的《供应商合规声明》（附件3）。

上述文件为报价不可或缺的组成部分，缺少任何一项即构成无效报价。

（3）General and Deviation Clauses (Non-negotiable) & Delivery Conditions

Delivery Conditions:

The delivery method is "FOT (Free on Truck) Yantai Port," and the risk shall be transferred to the Buyer after the goods have arrived at the port.

Clause Deviation:

All clauses, specifications, and requirements within this section (II. Quotation Requirements) and its associated attachments are mandatory. The supplier must provide a full and unconditional response. The Purchaser will not accept any conditional or unconditional deviations, additional terms, exceptions, or alternative solutions. Any quotation that fails to fully satisfy all the aforementioned requirements will be deemed invalid and will not proceed to the subsequent evaluation stage.

（3）通用与偏差条款（不可谈判） 交货条件

交货方式为“烟台港车板交货”，风险于货物到港后转移至买方。

条款偏离：本章节（二、报价要求）及关联附件中的所有条款、规格及要求均为强制性要求，供应商必须完全响应。采购方不接受任何条件性或无条件的偏差、附加条款、例外说明或替代方案。任何未完全满足上述所有要求的报价，将被视为无效，且不进入后续评审阶段。

3. Transportation Requirements运输要求

During transportation, packaging shall be conducted in accordance with national standards and industry specifications. Adequate covering measures must be taken for dust and rain protection; goods must be securely fastened on the vehicle, with necessary cushioning and protection (such as adding wooden frames, rubber pads, etc.) to prevent collision, scattering, and deformation during transit, thereby ensuring transport safety and avoiding environmental pollution. The Seller commits that packaging materials will not be recycled.

运输过程中应依据国家标准和行业规范进行包装。采取覆盖措施防尘防雨；在车辆上固定牢靠，并采取必要的缓冲防护（如加垫木架、橡胶垫等），防止运输途中发生碰撞、散落和变形，确保运输安全且不污染环境。卖方承诺不回收包装物。

4. **Key Contractual Clauses (Subject to Final Confirmation)**关键合同条款（待最终确认）

（1）Payment Terms: 付款条件：

The Buyer’s payment for this batch of materials is subject to the following conditions: After the goods arrive at the project site, the Buyer or its designated inspection agency shall inspect and confirm that the quality, specifications, and quantity of the goods fully comply with the Contract. Upon fulfillment of these conditions, both parties shall sign the settlement statement. The Buyer shall complete the payment within thirty (30) working days after receiving the invoice issued by the Seller.

Method of Payment: Telegraphic Transfer (T/T).

买方支付该批材料款的前提条件为：货物运抵项目现场后，经买方或其指定的检验机构检验，确认货物的质量、规格和数量完全符合本合同规定。在此条件满足后，双方签认结算单，卖方发送发票给买方，买方在收到发票后 30个工作日内完成支付。

支付方式：电汇。

（2）Exporter of Record 出口名义：

The export of the rebar shall be handled in the name of China Harbour Engineering Company Limited.

钢筋出口需以中国港湾工程有限责任公司的名义办理出口。

（3）Quality Requirements 质量要求**：**

The rebar shall comply with all applicable laws, regulations, standards and requirements of the relevant government authorities of the country concerned and of the Employer.

符合所在国政府以及业主要求的规范和规定。

（4）Inspection and Acceptance验收要求：

Acceptance shall be based on theoretical weight calculation. The Buyer reserves the right to conduct weight verification by weighing. Any deviation between the theoretical weight and the actual weighed weight shall comply with the relevant standards, specifications and contractual requirements.

按理论换算计量，买方有权进行过磅复核，理论重量与过磅重量的偏差必须符合合同约定的相应标准、规范以及相关规定。

（5）Transfer of Risk风险转移**：**

Notwithstanding any other provisions of this Contract, the transfer of risk of loss or damage to the goods shall be governed by Incoterms？ 2020. All costs arising from any material quality issues shall be borne by the Seller. The Seller shall, at its own expense, take remedial measures within the time limit required by the Buyer.

无论本合同其他条款如何规定，货损风险按《国际贸易术语解释通则2020》约定转移。若因材料质量问题产生所有费用由卖方承担，卖方应在买方要求时限内自费采取补救措施。

（6）Right of Testing检测权条款:

If the Buyer has reasonable grounds to suspect quality defects in the materials, the Buyer shall have the right to entrust a qualified third-party inspection and testing agency to conduct testing.

The testing costs shall be borne by the responsible party. Where testing confirms a breach of contract, the Supplier shall additionally compensate the Buyer for the testing expenses.

若买方合理材料怀疑存在质量问题，有权委托具有资质的第三方检测机构进行检测，费用由责任方承担。检测发现违约时，供应商追加赔偿检测费。
